TERMS OF USE

EaseInfra

1. INTRODUCTION

Welcome to EaseInfra ("Company", "we", "us", or "our"). These Terms of Use ("Terms") govern your access to and use of the EaseInfra website, mobile application, and all related services (collectively, the "Platform" or "Service").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Service.

2. ELIGIBILITY

2.1 The Platform is intended exclusively for business-to-business (B2B) use by legally registered entities, including but not limited to manufacturers, traders, suppliers, buyers, and their authorized representatives.

2.2 Use of the Platform for personal, consumer, or non-business purposes is strictly prohibited.

2.3 By registering, you represent and warrant that you have the legal authority to bind your organization to these Terms.

3. ACCOUNT REGISTRATION AND SECURITY

3.1 You agree to provide accurate, complete, and current business information during registration, including:

Full legal company name
Registered business address
Valid email address and mobile number
Goods and Services Tax Identification Number (GSTIN), where applicable

3.2 You are solely responsible for maintaining the confidentiality of your account credentials, including username and password.

3.3 You agree to immediately notify EaseInfra of any unauthorized access or suspected breach of your account security.

3.4 EaseInfra reserves the right to suspend or terminate any account that provides false, misleading, or fraudulent information.

4. MARKETPLACE OPERATIONS

4.1 Platform Purpose

EaseInfra operates as a digital marketplace connecting steel buyers and sellers, offering features including but not limited to:

Live pricing feeds
Product listings and catalog management
Bid listing and management tools
Lead generation and enquiry systems
Market analytics and insights

4.2 No Transaction Guarantee

EaseInfra acts solely as an intermediary platform. We do not:

Guarantee the accuracy of pricing, product specifications, or availability
Warrant the quality, authenticity, or delivery of any products
Ensure the performance, reliability, or financial capacity of any buyer or seller
Participate in, mediate, or assume liability for transactions between users

4.3 Direct User Agreements

All commercial transactions, negotiations, contracts, and agreements are conducted directly between users. EaseInfra is not a party to any such agreement.

5. USER RESPONSIBILITIES

5.1 Sellers/Traders

You agree to:

List only genuine, legally compliant products with accurate descriptions and specifications
Maintain current pricing and inventory information
Respond promptly to legitimate buyer enquiries
Comply with all applicable laws, regulations, and industry standards

5.2 Buyers

You agree to:

Verify all product specifications, quantities, pricing, and delivery terms before purchase
Conduct appropriate due diligence on sellers and products
Submit genuine enquiries only with bona fide purchase intent

5.3 Prohibited Conduct

All users are prohibited from:

Posting false, misleading, or fraudulent information
Engaging in spam, harassment, or abusive behavior
Attempting to circumvent Platform fees or commissions
Using automated tools or bots to scrape data or manipulate listings
Conducting any unlawful or unethical activity
Infringing upon intellectual property rights of others

6. FEES, PAYMENTS, AND SUBSCRIPTIONS

6.1 Subscription Plans

EaseInfra offers tiered subscription plans designed to provide enhanced visibility, guaranteed leads, analytics, and sales tools. Available plans include:

Free Plan – Basic access with limited features
Starter Plan – Entry-level paid features
Trusted Plan – Intermediate features and visibility
Expert Plan – Advanced tools and priority support
Leader Plan – Premium features with maximum visibility

Each plan includes varying levels of:

Search ranking and visibility
Number of guaranteed leads per billing cycle
Bidding and enquiry access
Analytics dashboards
Sales support and account management
Feature banners and premium badges
Priority listing placement

6.2 Billing Cycles

Subscriptions are available on:

Monthly billing – Billed in advance each month
Yearly billing – Billed annually in advance, typically at a discounted rate compared to monthly billing

6.3 Pricing and Currency

All prices are displayed in Indian Rupees (INR)
Prices are exclusive of applicable taxes unless expressly stated otherwise
EaseInfra reserves the right to modify pricing, features, or plan structure at any time with prior notice via the Platform

6.4 Payment Processing

Payments are processed securely through Razorpay, a certified third-party payment gateway
EaseInfra does not store credit card, debit card, UPI, or net banking credentials
By making a payment, you agree to comply with Razorpay's terms of service, privacy policy, and payment processing rules

6.5 Subscription Activation and Renewal

Subscriptions are activated immediately upon successful payment
Unless explicitly configured, subscriptions do not auto-renew
If you opt-in for auto-renewal, your subscription will automatically renew on the expiration date
Failure to renew may result in downgrade to a free plan or loss of premium features, including reduced visibility and lead access

6.6 Partial Upgrades and Prorated Billing

6.6.1 If you upgrade from a lower subscription plan to a higher plan before the end of your current billing cycle, EaseInfra will calculate a prorated credit based on the number of unused days remaining in your active subscription period.

6.6.2 Calculation Method:

The total duration of the current subscription billing cycle will be considered
The number of days already elapsed in the current billing cycle will be deducted
The remaining unused days will be calculated proportionately
The monetary value corresponding to the unused days will be credited toward the upgraded plan
You will be charged only the net difference between the price of the new plan and the prorated credit

Example:

Current Plan Price: ₹300 (30-day validity)
Days Used: 9 days
Days Remaining: 21 days
Value per Day: ₹300 ÷ 30 = ₹10
Prorated Credit: 21 × ₹10 = ₹210
Upgrade Plan Price: ₹500
Amount Charged for Upgrade: ₹500 − ₹210 = ₹290

6.6.3 The prorated credit is:

Non-refundable
Non-transferable
Applicable only at the time of upgrade
Not redeemable for cash or future subscriptions

The credit will automatically expire at the end of the current billing cycle if not used during the upgrade.

6.7 Guaranteed Leads

6.7.1 "Guaranteed leads" refer to the minimum number of buyer enquiries facilitated through the Platform during your active subscription period.

6.7.2 EaseInfra does not guarantee:

Conversion of leads into confirmed orders
Order value, payment completion, or transaction success
Quality, intent, or financial capacity of enquiring buyers

6.7.3 Leads are subject to buyer intent, market conditions, and product availability.

6.8 Refunds and Cancellations

6.8.1 All subscription fees are non-refundable, except where required by applicable law.

6.8.2 No refunds or partial refunds will be provided for:

Unused subscription periods
Unused guaranteed leads
Early cancellation or downgrade
Dissatisfaction with lead quality (subject to clause 6.7)

6.8.3 Payment disputes must be raised within 15 days of the transaction by contacting EaseInfra support at [Insert support email].

6.9 Taxes

6.9.1 Applicable taxes, including Goods and Services Tax (GST), will be charged in accordance with Indian tax laws.

6.9.2 Users are solely responsible for compliance with their own tax obligations arising from use of the Platform or transactions conducted thereon.

6.10 Suspension for Non-Payment

EaseInfra reserves the right to suspend or restrict access to paid features in the event of:

Failed or declined payments
Chargebacks or payment disputes
Violation of payment or subscription terms

6.11 Changes to Fees and Plans

EaseInfra may revise subscription fees, introduce new plans, or modify existing plans at its sole discretion. Changes will be communicated via the Platform or email and will apply to future purchases or renewals only.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 All content, features, functionality, design elements, trademarks, logos, software, and technology available on the Platform are the exclusive property of EaseInfra or its licensors.

7.2 Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for lawful business purposes in accordance with these Terms.

7.3 Users may not:

Copy, modify, distribute, or reverse-engineer any part of the Platform
Use EaseInfra branding or content without prior written consent
Frame or mirror any portion of the Platform

8. TERMINATION

8.1 By EaseInfra

We reserve the right to suspend, restrict, or terminate your account or access to the Platform at any time, with or without notice, for:

Violation of these Terms
Fraudulent, abusive, or illegal conduct
Non-payment of fees
Any conduct that harms the Platform or its users

8.2 By User

You may close your account at any time by contacting EaseInfra support. Termination does not entitle you to a refund of any fees paid.

8.3 Effect of Termination

Upon termination, your right to access and use the Platform will immediately cease. EaseInfra may retain certain data as required by law or for legitimate business purposes.

9. DISCLAIMERS AND LIMITATION OF LIABILITY

9.1 No Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 User Transactions

EASEINFRA IS NOT LIABLE FOR ANY LOSS, DAMAGE, OR DISPUTE ARISING FROM TRANSACTIONS, COMMUNICATIONS, OR RELATIONSHIPS BETWEEN USERS.

9.3 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EASEINFRA'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO EASEINFRA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9.4 Exclusion of Damages

EASEINFRA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, OR BUSINESS OPPORTUNITIES.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless EaseInfra, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

Your use of the Platform
Your violation of these Terms
Your violation of any third-party rights
Any content or information you submit or transmit through the Platform

11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1 These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

11.2 Any disputes arising out of or related to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in [Insert City/State], India.

12. CHANGES TO TERMS

12.1 EaseInfra reserves the right to modify or update these Terms at any time. Changes will be effective immediately upon posting on the Platform.

12.2 Your continued use of the Platform following any changes constitutes acceptance of the revised Terms.

12.3 We encourage you to review these Terms periodically.

13. MISCELLANEOUS

13.1 Entire Agreement

These Terms constitute the entire agreement between you and EaseInfra regarding use of the Platform and supersede all prior agreements or understandings.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Waiver

Failure by EaseInfra to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your account without EaseInfra's prior written consent. EaseInfra may assign these Terms without restriction.
